Post Merger Integration (PMI)

The acquisition of another company or a merger with it takes place when the parties involved anticipate achieving greater efficiency and/or increased revenue by consolidating their business activities.

In practice, however, realizing this objective still requires a considerable amount of work. The formal signing of a contract between the parties does not mark the end of the merger process, but rather the beginning of a critical procedure for successfully finalizing the union, known as Post-Merger Integration (PMI).

In any event, the organizational structure, administration, accounting, and marketing functions must all be adjusted. This affects virtually every level of management. Furthermore, should there be any overlaps in services or product portfolios, all associated operational areas, such as procurement, product development, sales, etc. must be restructured.

As a first step, a Post-Merger Integration process identifies which areas and specific departments are impacted by the merger.

Subsequently, following intensive consultation with all involved parties, specific objectives are defined for each individual area; these cover future responsibilities, staffing requirements, and interfaces with other departments.

Workflows are then adjusted incrementally, always with the aim of maximizing efficiency and minimizing disruptions to ongoing business operations. The greater the acceptance of the PMI outcome among the workforce, customers, and suppliers, the less severe the negative impact of the increased workload caused by organizational restructuring will be, and the smoother the market launch will proceed.

In summary, Post-Merger Integration requires the support of a highly competent external partner, if only to avoid internal power struggles that could delay the success of a merger by years. This partner must possess the ability to manage all necessary adjustments with a high degree of social competence and the requisite tact, in order to guide the entire process smoothly and on schedule to the desired outcome.
